Jun H. Yu is a principal of Dickie, McCamey & Chilcote, P.C. He concentrates his practice in the areas of mergers and acquisitions, private placements, commercial contracts, real estate, energy law, financing, licensing and technology, with a particular emphasis in general corporate law.

Prior to joining the firm, Mr. Yu served as General Counsel to Fort Pitt Group, LP in Pittsburgh. He founded a consulting firm to advise domestic and foreign energy companies on how to successfully enter into international markets. Mr. Yu also founded and was President of PennGlobal Law Associates, PC, a general practice law firm in Ross Township. He has represented clients in manufacturing, technology, energy, real estate, food, retail, distribution, entertainment, healthcare, hospitality, and other sectors. Prior to becoming a lawyer, Mr. Yu worked as a reporter and editor at major metropolitan newspapers.

Corporate

  • Forming, structuring and capitalizing private companies
  • Establishing investment partnerships to finance and commercialize proprietary technologies
  • Drafting incentive plans involving options, restricted stock and phantom stock
  • Managing business projects as outside counsel for global food company
  • Structuring start-up companies to provide web-based software service, apply for medical cannabis license and obtain women-owned business certification


Securities

  • Conducting private offerings of securities
  • Planning multi-stage funding rounds for development companies and community loan fund
  • Complying with Federal and state securities laws and regulations and stock exchange rules
  • Complying with broker-dealer rules and FINRA regulations


Financing

  • Negotiating with banks and private lenders for loans, credit facilities, promissory notes, security agreements, guarantees, forbearance agreements, royalty and participation agreements
  • Conducting capital calls and directing investment rounds for investment fund
  • Refinancing credit facilities
  • Redeeming letters of credit


Contracts

  • Documenting broad range of commercial projects, including distribution, sales, service and supply agreements, joint ventures, manufacturing agreements, licensing, non-competition, consulting, teaming and related agreements
  • Experience with contracts that meet parties’ goals and interests in intellectual property, high tech, international, healthcare and other sectors


International

  • Representing Chinese company in acquisition of U.S. business partner
  • Counseling U.S.-based company recruit and place international students
  • Researching rights of salespeople/distributors subject to termination in the European Union
  • Familiarity with Incoterms, "U.N. Convention on Contracts for the International Sale of Goods" and other international trade conventions


Energy

  • Expertise in energy law and transactions involving clean energy
  • Knowledge of loans, grants and guarantees under Pennsylvania and Federal programs for energy efficient retrofits, wind, biogas and other renewable energy ventures
  • Drafting PPAs, interconnection agreements and renewable energy credits
  • Counseling development and commercialization of proprietary energy-saving products


Real Estate

  • Representing private, corporate and municipal purchasers and sellers of residential, commercial and industrial properties
  • Supervising production of deeds, titles, environmental reviews and related documents
  • Managing residential and condominium developments, utility easements, surveys and municipal land use rights
  • Negotiating mortgages and leases relating to multiple automobile dealerships and healthcare practices
  • Sale of properties at auction
