Nathan A. Kostelnik is an associate of Dickie, McCamey & Chilcote, P.C., and a member of the firm’s Corporate Services Group and Commercial Law and Litigation Group. He concentrates his practice in the areas of general corporate law, commercial transactions, commercial litigation, Uniform Commercial Code (UCC), technology law, trademark law, intellectual property, and small business services.

While in law school, Mr. Kostelnik served as a teaching assistant to Professor James L. Flannery and completed an externship with the Honorable Donetta W. Ambrose of the United States District Court for the Western District of Pennsylvania.

Representative Matters:

  • Represented an automated parts distributor in a $10M asset sale
  • Represented the seller of a local hospice in connection with a $10M stock sale to a national enterprise
  • Represented the buyer of a regional frozen yogurt franchise
  • Represented a medical technology device company in connection with $10M Series A financing
  • Represented a beverage company in the prosecution of trade dress and patent infringement claims
  • Achieved a favorable settlement through defense of a regional bank in a lawsuit arising out of cyber theft and alleging fraudulent electronic funds transfers
  • Successfully defended a mining shuttle car rebuilder against allegations of trademark infringement and counterfeiting in civil contempt proceedings for alleged violations of an injunction and in subsequent related lawsuit that was dismissed on a Rule 12 motion
  • Represent clients in intellectual property matters, including conducting trademark clearance searches, prosecuting trademark applications, licensing intellectual property, and policing infringement
  • Achieved a favorable settlement through representation of a local corporation in connection with a failed shared energy savings/utilities expense reduction program
  • Draft and negotiate a wide variety of commercial contracts pertaining to manufacturing, supply, co-packing, licensing, non-disclosure, shareholders, real estate, and terms and conditions of sale
